Terms of service
Website and purchasing terms
The terms governing access, professional purchases and use of CanDent services.
These Terms of Service (“Terms”) govern your access to and use of the website, online store, accounts, content, tools, products, and related services operated by CANDENT GROUP INC., operating as CanDent Group (“CanDent Group,” “we,” “us,” or “our”). Our store is hosted by Shopify, which provides the ecommerce platform that enables us to offer the Services.
By accessing the Services, creating an account, or placing an order, you agree to these Terms and the policies incorporated into them. If you do not agree, do not use the Services or submit an order.
Purchaser Eligibility, Authorized Office Staff, and Accounts
Eligible Dental Professional
For purposes of these Terms, an “Eligible Dental Professional” means a dentist or dental hygienist who is currently licensed, registered, and entitled to practice by the applicable professional regulatory authority in a Canadian province or territory.
Products may be sold only:
- directly to an Eligible Dental Professional; or
- to a dental practice, clinic, professional corporation, or dental office purchasing on behalf of and for use by a named Eligible Dental Professional.
Members of the general public and persons who are not purchasing for a verified Eligible Dental Professional are not eligible to order products from CanDent Group.
Information required with every order
Each online or in-person order must clearly identify:
- the full name of the dentist or dental hygienist for whom the products are being purchased or under whose professional responsibility the products will be used;
- whether that person is a dentist or dental hygienist;
- the province or territory in which that person is licensed or registered; and
- the dental practice, clinic, or office associated with the order.
Orders placed by dental-office staff
An order may be submitted by any staff member who is authorized by the dental office to place orders, including an office manager, receptionist, dental assistant, treatment coordinator, purchasing employee, or other authorized representative.
When the person submitting the order is not the named Eligible Dental Professional, the order must also state the ordering person’s full name and their position or role at the dental office. The ordering person represents that they have authority from the dental office and the named Eligible Dental Professional to submit the order and provide the required information.
Verification and order approval
All orders are subject to CanDent Group’s verification and approval. We may verify eligibility using an applicable professional regulatory authority’s public register, the dental office’s publicly available information, or direct communication with the dental office or named professional.
We may request additional information reasonably required to complete verification, including a professional registration number, practice contact information, proof of authority to order, or other supporting documentation.
Submitting an order does not guarantee acceptance. We may hold, decline, limit, or cancel an order if:
- the named professional cannot be verified as currently licensed or registered;
- required purchaser, practice, or professional information is missing, inaccurate, or inconsistent;
- the person placing the order cannot be confirmed as authorized by the dental office;
- the intended use does not appear consistent with these Terms; or
- verification cannot be completed within a reasonable period.
If an order is cancelled after payment has been captured solely because eligibility could not be verified, we will refund the applicable amount to the original payment method.
Account responsibility
You must be at least the age of majority in your province or territory of residence to create an account or enter into a purchase through the Services.
If you use the Services on behalf of a dental practice, clinic, corporation, partnership, educational institution, government body, or other organization, you represent that you have authority to bind that organization to these Terms. In that case, “you” includes both you and the organization.
You agree to provide complete, current, and accurate account, professional, practice, billing, payment, and delivery information. You are responsible for maintaining the confidentiality of your login credentials and for activity carried out through your account. Notify us promptly if you suspect unauthorized use.
We may refuse registration, suspend an account, restrict purchasing privileges, or terminate access where reasonably necessary to protect the Services, customers, CanDent Group, Shopify, or third parties, or where these Terms or applicable law have been violated.
Professional Dental Products and Responsible Use
Products offered through the Services are intended for professional dental, clinical, laboratory, educational, or institutional use. A dental-office staff member may place or administer an order, but the products must be intended for use by, or under the professional responsibility and direction of, the Eligible Dental Professional identified in the order.
The named Eligible Dental Professional and the purchasing dental office are responsible for determining whether each intended user has the qualifications, training, authorization, facilities, and equipment required to possess, handle, store, sterilize, reprocess, install, or use a product.
You agree to:
- review and follow the product labelling, instructions for use, warnings, contraindications, maintenance instructions, and manufacturer documentation;
- inspect each product and its packaging before use;
- observe applicable infection-control, storage, traceability, and disposal requirements;
- ensure that clinical use occurs only by, or under the lawful direction and responsibility of, an appropriately licensed or registered dental professional;
- use each product only for its intended purpose and within the user’s professional scope and competence; and
- stop using and appropriately isolate any product that appears damaged, contaminated, defective, expired, recalled, or otherwise unsuitable for use.
Nothing on the Services replaces professional education, clinical judgment, patient assessment, manufacturer instructions, or advice from an appropriately qualified professional.
Unless we expressly authorize it in writing, products are purchased for use by the named Eligible Dental Professional or the identified dental office and not for unauthorized resale, redistribution, relabelling, private labelling, export, transfer to an unverified user, or diversion into another market.
Product Information, Availability, and Images
We make reasonable efforts to present accurate product descriptions, specifications, sizes, colours, packaging, availability, compatibility information, and images. Product images are illustrative, and appearance may vary due to screen settings, photography, packaging updates, manufacturing changes, or normal product variation.
Manufacturer instructions, product labelling, and documentation supplied with the product take precedence over general website summaries where there is a material inconsistency. Contact us before purchase if a specification or compatibility detail is important to your decision.
Products, packaging, specifications, pricing, promotions, and availability may change. We may discontinue products, correct information, limit quantities, establish purchase limits, or restrict sales by customer, destination, or jurisdiction where reasonably necessary.
A reference to another manufacturer, brand, file system, technique, or product is for identification, comparison, or compatibility context only unless we expressly state otherwise. Third-party trademarks remain the property of their respective owners, and no affiliation, sponsorship, endorsement, or equivalence should be inferred unless expressly confirmed.
Orders, Eligibility Review, Acceptance, and Cancellation
Submitting an order is an offer to purchase and a representation that the eligibility information supplied with the order is complete and accurate. An automated order confirmation acknowledges receipt but does not constitute final acceptance or confirmation that purchaser eligibility has been approved.
Before accepting or fulfilling an order, we may verify:
- the identity and current professional status of the named dentist or dental hygienist;
- the dental practice or office associated with the order;
- the identity and authority of an office staff member placing the order on behalf of the professional;
- payment, inventory, delivery, account, and fraud-screening information; and
- any other information reasonably required to confirm compliance with these Terms.
An order is accepted only when CanDent Group confirms acceptance or proceeds with fulfillment after completing any verification we consider necessary.
We may decline, limit, place on hold, or cancel an order where reasonably necessary, including because of:
- failure to identify or verify an Eligible Dental Professional;
- missing, inaccurate, misleading, or inconsistent purchaser or practice information;
- lack of authority by the person submitting the order;
- inventory unavailability, discontinued products, or supplier constraints;
- pricing, description, promotion, or technical errors;
- suspected fraud, unauthorized payment, abuse, or unusual purchasing activity;
- delivery restrictions, regulatory requirements, or prohibited destinations;
- unauthorized resale, export, redistribution, or transfer to an unverified user; or
- another circumstance that makes fulfillment impracticable or unlawful.
If we cancel an order after payment has been captured, we will refund the applicable amount to the original payment method. We will make reasonable efforts to contact you using the details supplied with the order.
Review your order carefully before submitting it. Contact us immediately to request a change or cancellation. We cannot guarantee changes after fulfillment has started or the shipment has been transferred to a carrier.
Prices, Taxes, Billing, and Payment
Unless clearly stated otherwise, prices shown on the Services are expressed in Canadian dollars and exclude applicable sales taxes. Taxes and any chargeable shipping upgrades will be calculated or displayed during checkout.
Prices, discounts, and promotions may change without notice. The applicable product price is generally the price displayed when the order is submitted, subject to correction of obvious errors and applicable law.
You authorize us and our payment processors to charge the payment method submitted for the total shown at checkout. You represent that you are authorized to use that payment method and agree to provide accurate billing information.
We may correct an obvious pricing or calculation error before fulfillment. When an error materially affects an order already submitted, we may contact you to approve the corrected amount or cancel and refund the affected item or order.
Purchase orders, credit arrangements, quotations, negotiated prices, or separate written commercial agreements may be subject to additional terms. Where a signed or expressly accepted written agreement conflicts with these online Terms, that agreement governs to the extent of the conflict.
Shipping, Delivery, and Risk
Shipping, delivery estimates, tracking, express-service charges, address requirements, failed delivery, split shipments, backorders, carrier delays, and shipping claims are governed by our Shipping & Delivery Policy.
Standard shipping across Canada is offered in accordance with that policy. CanDent Group selects the carrier and standard service. Express, expedited, preferred-carrier, or other customer-requested services may involve additional charges.
Delivery dates are estimates unless we expressly provide a written guarantee. Responsibility for loss or damage will be determined in accordance with the applicable shipping arrangement, carrier documentation, these Terms, our policies, and non-waivable rights under applicable law. Nothing in these Terms requires you to bear a loss that applicable law places on CanDent Group.
Returns, Exchanges, and Refunds
Returns, opened-product eligibility, sterile-product restrictions, exchanges, damaged or incorrect products, return shipping, and refund timing are governed by our Return & Refund Policy.
Products used clinically, contaminated, sterilized, reprocessed, altered, or otherwise made unsafe to handle may not be returned except where required by law or specifically authorized by us following assessment.
Nothing in our return policy or these Terms limits a non-waivable right or remedy available under applicable law.
Promotions, Discounts, Free Products, and Samples
Promotions, discount codes, free-product offers, samples, introductory offers, and loyalty incentives may be subject to separate eligibility requirements, dates, quantities, product combinations, account limits, or other conditions disclosed with the offer.
Unless stated otherwise:
- promotions cannot be combined;
- discounts have no cash value;
- free products and samples are subject to availability;
- purchase limits may apply by customer, practice, address, or account; and
- returns may require the promotional item to be returned or may cause the refund to be recalculated based on the promotion actually retained.
Samples are provided for lawful evaluation by an appropriately qualified or supervised user. A sample is not an assurance that a product is suitable for every patient, procedure, technique, or clinical situation.
Product Warranties, Compatibility, and Clinical Outcomes
Some products may include a written manufacturer warranty or a specific warranty stated on the product page or accompanying documentation. The applicable written warranty, if any, governs its scope, duration, exclusions, and remedy.
Except for an express written warranty and rights that cannot lawfully be excluded, we do not guarantee that a product will be compatible with every device, motor, software system, technique, accessory, material, patient condition, or workflow. Compatibility references should be confirmed against the applicable manufacturer documentation before use.
Clinical results depend on numerous factors outside our control, including diagnosis, case selection, operator skill, technique, equipment, maintenance, sterilization, patient anatomy, patient cooperation, and adherence to instructions. CanDent Group does not guarantee a particular clinical outcome.
Report suspected product defects, adverse events, safety concerns, or recall-related information promptly to info@candentgroup.ca. Preserve the product, packaging, lot information, and relevant documentation unless safe handling requires otherwise.
Intellectual Property
The Services and their original content, design, layout, text, graphics, photographs, videos, logos, icons, downloadable materials, and other elements are owned by or licensed to CanDent Group and are protected by applicable intellectual-property laws.
We grant you a limited, revocable, non-exclusive, non-transferable right to access and use the Services for lawful purchasing, evaluation, account management, and internal professional or business purposes.
Without prior written permission, you may not reproduce, republish, distribute, modify, scrape, systematically extract, sell, license, create derivative works from, or commercially exploit the Services or their content, except as allowed by law.
CanDent Group names, logos, designs, slogans, and branding may not be used in a manner that suggests authorization, affiliation, sponsorship, endorsement, or distributorship without written permission. Shopify and third-party names and marks belong to their respective owners.
Third-Party Tools, Services, and Links
The Services may include payment processing, authentication, shipping, analytics, customer support, reviews, social-media functions, applications, embedded content, or links provided by third parties.
Third-party services may be governed by their own terms and privacy practices. We are not responsible for independently operated websites, platforms, or services merely because they are linked or integrated with the Services. Review the relevant third-party terms before using them.
We may add, modify, or discontinue optional features and integrations. Unless expressly stated, access to a third-party tool does not constitute our endorsement of every third-party product, statement, or practice.
Relationship with Shopify
The Services are hosted by Shopify, which provides the ecommerce platform that enables us to operate the online store. Purchases made from our store are transactions directly between you and CanDent Group.
Shopify is not the seller of our products and is not responsible for product selection, fulfilment, delivery, returns, customer service, product performance, or claims arising from a transaction with CanDent Group, except to the extent Shopify separately provides a consumer service under terms directly between you and Shopify.
Privacy and Electronic Communications
Our collection, use, disclosure, and protection of personal information are described in our Privacy Policy. This may include professional and practice information supplied to verify purchasing eligibility, such as the name and profession of the intended dental professional, the ordering staff member’s name and role, practice information, and a registration number or supporting documentation when requested. Shopify and other service providers may also process information under their own applicable privacy notices.
By providing an email address or telephone number, you agree that we may use it for transactional and service communications relating to your account, orders, shipping, safety notices, recalls, product support, or customer-service requests.
Marketing communications are sent in accordance with applicable consent requirements. You may unsubscribe from promotional email using the unsubscribe link, but you may still receive non-promotional communications necessary to administer an order, account, safety matter, or legal obligation.
Reviews, Feedback, and Submitted Content
If you submit a review, photograph, suggestion, testimonial, comment, or other content (“Feedback”), you represent that it is truthful, based on your genuine experience where applicable, does not violate another person’s rights, and does not contain unlawful, confidential, defamatory, misleading, abusive, or malicious material.
You grant CanDent Group a non-exclusive, worldwide, royalty-free licence to host, reproduce, format, display, publish, and use the Feedback for operating, improving, and promoting the Services, subject to applicable privacy and advertising laws. This licence continues for content already used or incorporated into materials, but does not transfer ownership of your Feedback to us.
You must disclose any incentive, free product, discount, payment, employment, business relationship, or other material connection related to a review or endorsement.
We may moderate or remove Feedback that violates these Terms, is misleading, relates to an unrelated matter, reveals confidential or personal information, or creates a safety or legal concern. We are not required to publish or respond to every submission.
Errors, Updates, and Availability
The Services may occasionally contain typographical, technical, pricing, inventory, compatibility, description, shipping, or other errors. We may correct or update information and take reasonable steps regarding affected orders.
We do not undertake to update every item of general website content immediately, except where required by law or necessary to address a material safety, regulatory, transactional, or customer-service issue.
We may suspend, restrict, or modify the Services for maintenance, security, legal compliance, operational requirements, or events outside our reasonable control.
Prohibited Conduct
You may not use the Services:
- for an unlawful, fraudulent, deceptive, abusive, or malicious purpose;
- to violate applicable professional, regulatory, import, export, privacy, intellectual-property, or consumer-protection requirements;
- to purchase, divert, resell, export, relabel, or distribute products without any required authorization;
- to submit false account, payment, eligibility, review, or delivery information;
- to introduce malware, interfere with security, circumvent access controls, or disrupt the Services;
- to scrape, harvest, copy, or systematically extract data or content except as permitted by law or written authorization;
- to impersonate another person or misrepresent your affiliation or authority; or
- to harass, threaten, defame, or infringe the rights of CanDent Group, another customer, Shopify, or a third party.
Automated systems, bots, agents, crawlers, or artificial-intelligence tools may not access or interact with the Services in a manner that conceals their automated nature, bypasses technical restrictions, interferes with operation, places unreasonable load on the Services, or violates these Terms.
Suspension and Termination
You may stop using the Services at any time. We may suspend or terminate access, cancel an account, or refuse future service where reasonably necessary because of a breach, suspected fraud, security concern, unlawful activity, abusive conduct, non-payment, regulatory requirement, or material risk to CanDent Group or others.
Termination does not affect rights, payment obligations, accepted orders, or provisions that by their nature should continue, including provisions concerning intellectual property, privacy, Feedback, disclaimers, liability, indemnification, governing law, and dispute resolution.
Disclaimers
To the extent permitted by law, the website, online account functions, general content, and optional digital tools are provided on an “as available” basis. We do not guarantee that the Services will always be uninterrupted, error-free, secure, or compatible with every device, browser, or third-party service.
General educational, technical, comparative, or product information on the Services is provided for information and purchasing support. It does not constitute diagnosis, treatment advice, a patient-specific recommendation, or a substitute for instructions supplied with a product.
Any express product warranty is identified in the applicable written warranty, product documentation, or product listing. Except to the extent prohibited by law, no additional warranty or condition is created by general website content, sales discussion, sample provision, demonstration, comparison, or promotional statement unless expressly confirmed in writing by an authorized representative.
Nothing in these Terms excludes a warranty, condition, representation, right, or remedy that cannot lawfully be excluded.
Limitation of Liability
To the fullest extent permitted by law, CanDent Group and its directors, officers, employees, agents, contractors, and service providers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential loss, or for loss of profit, revenue, opportunity, goodwill, business interruption, or data, arising from or connected with the Services or a transaction.
To the fullest extent permitted by law, our aggregate liability arising from or connected with a particular product or order will not exceed the amount actually paid to CanDent Group for the affected product or order.
The exclusions and limits above do not apply to liability that cannot legally be excluded or limited, including any liability arising from fraud, wilful misconduct, or another matter for which applicable law prohibits exclusion or limitation. Your jurisdiction may provide additional rights.
Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless CanDent Group and its directors, officers, employees, and agents from third-party claims, losses, and reasonable costs arising from your unlawful use of the Services, material breach of these Terms, infringement of a third party’s rights, unauthorized resale or distribution, or misuse of a product contrary to its instructions or intended purpose.
This provision does not require you to indemnify a party for that party’s own fraud, wilful misconduct, or liability that cannot lawfully be transferred.
Events Outside Reasonable Control
We are not responsible for delay or failure caused by events outside our reasonable control, including severe weather, natural disaster, fire, flood, epidemic, labour disruption, transportation interruption, carrier or supplier failure, cyberattack, utility or communications outage, government action, import or export restriction, or regulatory delay.
We will make reasonable efforts to reduce the effect of such events and communicate a material impact on accepted orders. Your rights under applicable law remain unaffected.
General Legal Terms
Entire agreement
These Terms, together with the policies and order-specific terms incorporated by reference, form the agreement governing use of the Services and online purchases. A separately signed or expressly accepted written agreement may supplement or replace these Terms for the subject it addresses.
Severability
If a provision is found unlawful or unenforceable, it will be limited or severed only to the extent necessary, and the remaining provisions will continue in effect.
No waiver
A delay or failure to enforce a provision is not a waiver of that provision or any other right.
Assignment
You may not assign these Terms without our prior written consent. We may assign them in connection with a merger, reorganization, financing, sale of assets, transfer of the business, or to an affiliate or successor, subject to applicable law.
Headings
Headings are provided for convenience and do not change the interpretation of these Terms.
Electronic communications
You agree that order confirmations, invoices, policy notices, and other records may be delivered electronically, except where another form is required by law.
Governing Law and Disputes
These Terms and transactions with CanDent Group are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-law rules.
Subject to any non-waivable right to bring a matter in another forum, the courts located in Ontario will have jurisdiction over disputes arising from these Terms or the Services.
Before starting formal proceedings, you and CanDent Group agree to make reasonable efforts to resolve the matter by written notice and good-faith discussion. This does not prevent either party from seeking urgent injunctive relief or using a statutory complaint or remedy.
Changes to These Terms
We may update these Terms to reflect changes to the Services, products, business practices, policies, technology, or legal and regulatory requirements.
The revised Terms will be posted on this page with an updated date. Material changes will be communicated when required by law. Changes apply prospectively from their effective date and do not retroactively alter an order already accepted unless required by law or agreed by the parties.
